WWD Bylaws - approved March 27, 2007

I. Name
A. The name of this organization shall be The Western Wake Democratic Club.

II. Mission
A. The Western Wake Democratic Club (hereinafter called the Club) is organized to provide a regional forum for Democrats to address local, state, and national issues. Recognizing the success of a democratic government is completely dependent on the active involvement of an informed electorate we seek to:
1. Energize and organize voters
2. Educate voters regarding candidates and issues
3. Facilitate full participation in local Democratic opportunities
4. Promote the Democratic Party, its nominees for elective office, and its elected officials.

III. Governance and Affiliation
A. The Club is governed by the Club's active membership and in accordance with these Club by-laws and the North Carolina Democratic Party (hereinafter called the State Party) Plan of Organization.
B. The Club is an affiliated, subsidiary regional club of the Wake County Democratic Party (hereinafter called the County Party) duly authorized on [Date - TBD]

IV. Membership Requirements
A. Qualifications: Any individual qualifies for Club membership if:
1. The individual is a registered Democrat; or
2. The individual is ineligible to vote (due to minority, non-residency, or other legal impediment), but pledges to register as a Democrat when eligibility is attained; and
3. The individual supports the mission of the Club as stated in Article II, above.
B. Active (Voting) Membership: A qualified individual shall be considered an active member eligible to vote on Club matters only if they:
1. Apply for membership and
2. Participate in at least three Club activities within the 12 months prior. Qualifying activities include:
a) Attendance at the regular monthly meetings of the Club.
b) Serving as a volunteer at Club sponsored events.
C. Dues:
1. There are no dues required for membership.

V. Meetings
A. Regular Meetings
1. The Club shall hold regular monthly meetings on such day, time, and place as the membership may determine from time to time. All meetings shall be free of charge and open to the public.
2. Any matters requiring votes by the active (voting) membership shall be addressed only at a regular monthly meeting
B. Rules for Meetings
1. The Club shall use the current edition of Roberts Rules of Order Newly Revised to govern parliamentary procedure at all official meetings of the organization, except as specifically noted in these bylaws.
2. A quorum for voting at any official meeting of the Club shall be 15 percent of the active voting membership, or ten members, whichever is smaller.
3. The Club may suspend specific portions of these rules for purpose of emergency business by a vote of two-thirds of the membership present at a meeting, unless the item to be suspended calls for a higher qualification. In such case, the percent specified in that portion of the bylaws shall be required to suspend that text. The motion to suspend shall call out the particular section of the bylaws proposed to be suspended.

VI. Amendments
A. Changes to these bylaws not specifically referenced elsewhere must be noticed to the membership at least at the prior regular meeting before the vote in question, and must be approved by a majority vote of the Club.

VII. Officers
A. Club officers shall consist of chair, vice-chair, at-large member, secretary, and treasurer elected from the active voting members.
B. Club officers shall be elected to serve one-year terms of office. Members may serve at most 2 consecutive terms in the same office.
C. The Club officers shall make up the Club Executive Board.
D. Election of officers shall be held in April at the regular monthly meeting of the Club. If the chair vacates office, the vice-chair shall ascend to the position of chair, until an election is held to fill the chair’s remaining term of office.
E. In the temporary absence of the chair, the vice-chair shall serve as chair. If the position of vice-chair is vacant, the at-large member shall serve as vice-chair.
F. The secretary shall be responsible to ensure that all members are notified of Club meetings. Additionally, the secretary shall maintain all written and membership records.
G. The treasurer shall maintain the financial records of the Club and submit financial reports as required by law.
H. The chair or designee shall officiate at all meetings of the Club.
I. The chair may appoint members temporarily to fill un-expired terms of office, subject to election by the membership at the next regular Club meeting after the office is vacated.
J. Club Officers shall not also be members of the County Party Executive Board.
K. Elected officials and declared candidates for elective office may not serve as Club officers.
L. The Club Executive Board will appoint committees and Club members to serve in other capacities as needed.
